End-User License Agreement (EULA)

Effective Date: February 13, 2026

This End-User License Agreement ("Agreement") is a legal agreement between you (either an individual or a single entity) and Instruct AI Ltd ("Instruct AI", "we" or "us") for the use of:

(collectively, the "Software")

By downloading, installing, copying, or otherwise using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not download, install, copy, or use the Software.

ELIGIBILITY

The Software is intended solely for individuals who are at least 18 years of age. By using the Software, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into and be bound by this Agreement. If you are under 18 years of age, you are strictly prohibited from accessing or using the Software in any manner.

2.

GRANT OF LICENSE

Subject to the terms and conditions of this Agreement, Instruct AI grants you a non-exclusive, non-transferable, revocable license to use the Software solely for your internal business purposes.

3. USER CONDUCT AND RESTRICTIONS

3.1.

RESTRICTIONS

You shall not:

  1. Use the Software for any purpose that is prohibited by this Agreement or by applicable law;
  2. Modify, adapt, translate, or create derivative works based upon the Software;
  3. Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Software;
  4. Sell, rent, lease, sublicense, distribute, or otherwise transfer rights to the Software;
  5. Remove or alter any proprietary notices or labels on the Software.

3.2.

PROHIBITED USES

You shall not, using, with, via, or otherwise in relation to the Software: (i) take any action; (ii) create, generate, prompt, or distribute any output (content or otherwise); or (iii) input, store, provide, or distribute any input data, where such action, output, or input data:

  1. that is unlawful, fraudulent, abusive, threatening, discriminatory, offensive, harmful, deceptive, tortious, obscene, hateful, profane, invasive of another's privacy, or violates the rights of others;
  2. that infringes the rights of any company, entity, individual or other party, including without limitation any copyright, privacy, publicity, trademark, patent, or other proprietary or contractual rights;
  3. that contains or promotes any malware, viruses, or other harmful material;
  4. that is spam, phishing, misleading, or otherwise malicious;
  5. that depicts, describes, or otherwise harms minors in any way, including any portrayal or depiction of one or more minors in an inappropriate, lewd or otherwise objectionable manner;
  6. that contains nudity, biometric data, violence, or other content that is sensitive or controversial;

OWNERSHIP

The Software is licensed, not sold. Instruct AI retains all rights, title, and interest in and to the Software, including all intellectual property rights.

5.

CONFIDENTIALITY

You acknowledge that the Software contains proprietary and confidential information of Instruct AI. You agree to keep the Software strictly confidential and not to disclose or provide access to the Software to any third party.

6.

TERMINATION

This Agreement is effective until terminated. Instruct AI may terminate this Agreement at any time without notice if you fail to comply with any term or condition of this Agreement. Upon termination, you must cease all use of the Software and destroy all copies of the Software in your possession.

7.

DISCLAIMER OF WARRANTY

The Software is provided "AS IS" without warranty of any kind. Instruct AI disclaims all warranties, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

8.

LIMITATION OF LIABILITY

In no event shall Instruct AI be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use or inability to use the Software, even if advised of the possibility of such damages.

9.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom. Any disputes arising under or in connection with this Agreement shall be resolved through arbitration in accordance with the rules of London Court of International Arbitration (LCIA).

By using the Software, you acknowledge that you have read this Agreement, understand it, and agree to be bound by its terms and conditions.
